Terms and Conditions

These Terms and Conditions deal with, Laboratory Work, Billing, Warranty's, Social Media, Cyber, and Security. As of 12/01/2024 we are now including (In-House Client Accounts, Service Agreement.)

Terms & Conditions – GSR Dental LLC


          1. Agreement & Quality Commitment

  • The terms and conditions outlined herein govern this agreement and are controlling.
  • GSR Dental LLC takes great pride in the quality and craftsmanship of its appliances.
  • Clinicians are expected to provide the most accurate impressions and working models available.
  • Our scanning, 3D printing, and flask injection technologies produce exact copies of impressions and models.


           2. Warranty & Remake Evaluation

  • All warranties and remakes are evaluated by GSR Dental LLC on a case-by-case basis.
  • For evaluation, all original model work and appliances must be returned, or an adequate photo must be emailed or texted to the lab for documentation.


           3. Corrections & Credits

  • GSR Dental LLC reserves the right to cure or correct any defect before issuing any credit.
  • Any credit issued must be applied to appliances and services within sixty (60) days of issuance. And GSR Dental made the original appliance.



    Payment Terms & Conditions – GSR Dental LLC


            1. Billing & Payment Due Date

  • All accounts are due and payable upon receipt of each monthly invoice or statement.
  • Billing begins on the invoice issue date.

          

           2. Payment Terms

  • Standard terms: Net 25 (payment due within 25 days from invoice date).
  • New clients: Net 15 (payment due within 15 days from invoice date).
  • After three timely and successful payments, clients will be extended Net 25 terms.

           

           3. Late Fees & Penalties

  • A minimum service charge of 6.0% per month (annual rate of 18%) will be applied to any unpaid balance.
  • Accounts not paid within stated terms may be placed on C.O.D. (Cash on Delivery) status.

          

           4. Ownership & Returned Payments

  • All cases and items remain the property of GSR Dental LLC until the client’s account is paid in full.
  • Returned checks will incur a minimum charge of $30.00.

           

           5. Collections & Legal Fees

  • Clients agree to pay all applicable attorney’s fees, court costs, collection fees, and any other expenses incurred in recovering past due balances or insufficient fund checks, as permitted by law.

Section 01

 

 Remake Policy – GSR Dental LLC 

Remakes will be provided at no charge if requested within 15 working days from the invoice date, except in the following cases:

  1. Product Alteration – If the appliance has been used, sold, modified, or adjusted beyond usability or does not fit the original module or cast, it is considered accepted.
  2. Untimely Notification – If the product issue or defect is not reported and returned within 15 working days, it will be deemed accepted.
  3.  GSR Dental Lab will remake or repair original products for lab errors, material failure, or defects in workmanship within the warranty period. Normal wear, tear, or discoloration is not covered. 

  • GSR Dental Lab will remake or repair the original product for lab errors, material failure or defects in workmanship (not normal wear and tear or discoloration) within the product warranty period.
  • Temporary use product warranties do not include relines or reline adjustments.
  • Product warranties apply only to the original doctor and patient and are not transferable.
  • The appliance fits the master cast but not the mouth, and the Occlusion is Correct on the Articulator.  
  • Inaccurate impression, bite, midline, smile line, cusp line, & plane of occlusal.
  • Inaccurate fit due to Inaccurate impressions or Inaccurate module. Inaccurate fit will be covered if submitted within 25 days of the initial invoice, and GSR Dental will do 1 free hard lab reline to correct inaccurate fit. 
  • Warranties will not apply to any cases in which the doctor/practice has chosen to disregard the lab’s technical recommendations.
  • Removable restorations must be returned or an adequate photo emailed or text to the lab for evaluation to determine if the warranty applies. This also for laboratory case documentation.
  • GSR Dental Lab will replace defective products with one of equal value. If the customer replaces the product with a greater value, the customer will be charged the difference for a replacement product of greater value.
  • Remakes will be charged at 100% if there is a need for a, material change, a different shade than the original, different tooth shade than the original, changed abutment due to a lack of clearance, adjustment to the Primary or Secondary, lack of parallelism, undercut, missing clasp, (changed laboratory prescription form or laboratory prescription form was written wrong after the cases were processed) or other reason's etc.
  • The case was cancelled after the appliance was begun. Fabrication starts the day GSR Dental LLC. receives the case. The practice will be billed at the stage of completion.   
  • GSR Dental LLC. reserves the right to cure or correct or remake any case. And reserves the right to cure or correct any case defect before issuance of any credit. Any credit must be applied to appliances and services within (60) days of issuance.

Section 02

All Warranties begin on the original invoice Date of Issue and GSR Dental LLC made the original appliance to begin with. And we will need all original appliances returned and any other appliances that the patient or dentist did not like for that particular case (returned), or an adequate photo emailed or text to the lab, for the remake consideration. Remakes returned to us without the original restoration or photo will be charged at 100% of the price.


1 Year Warranty: Breakage of denture base or debonding of tooth from appliance on all permanent appliances. ALL on 4 Bar breakage and acrylic, and debonding of tooth form appliance. (If the breakage is not catastrophic.)  If patient losses tooth there will be added cost for tooth replacement. 


Warranty only applies to GSR Dental products.

Disclaimer: if patient loses tooth that has deboned from the appliance there will be a charge for the new tooth. And if the denture breakage is catastrophic there will be a charge for a new denture.  GSR Dental will determine what is deemed catastrophic. And if patient losses tooth there will be added cost for tooth replacement. 


Our warranties are designed to ensure peace of mind for you and your patients.


5 Year Warranty Full Denture Special: $30.00 per patient. Dentures Breakage of denture base or debonding of tooth from appliance on all permanent appliances. ALL on 4 Bar breakage and acrylic, and debonding of tooth form appliance. (If the breakage is not catastrophic.) If patient losses tooth there will be added cost for tooth replacement.


3 Year Limited Warranty: Cast Metal Framework breakage of frame. (Breakage due to clasp adjustment or major connectors not covered). And Limited Warranty is, 1 framework breakage of frame. No Warranty (against wear and tear, or discoloration.) There will be a charge for new teeth used but not the framework. And a 6 month warranty on a patient breaking the cast clasp. And 1 year warranty  on acrylic base and denture teeth debonding from acrylic. (Per Individual Case.) Dentist will need to return the broken framework or photo and without the original broken framework or photo, remakes will be charged at 100% of the price. (GSR Dental wants the broken framework back or photo.)


1 Year Warranty: Permanent Monolithic Hybrids made with Varseo Smile Crown plus material or equivalent. (Monolithic is one solid piece of material.) And the breakage is not catastrophic and limited to 3 remakes. 


Warranty: 1 year from date of invoice on Permanent, Flex Clasp, Flex Partial's, Flex Denture's. And the breakage is not catastrophic and limited to 3 remakes.


Flex Partial Limited Lifetime Warranty:  Under normal use, all of our flex partials come with a limited lifetime guarantee against flex partial base breakage. Limited Lifetime Warranty is 5 Years from the date of invoice issue. And GSR Dental wants the original Flex Partial back or photo, and without the original broken flex partial or photo, remakes will be charged at 100% of the price.


Warranty: 6 months, if GSR Dental made the original appliance (Denture, RPD, etc.) on soft relines, and hard relines. 


Warranty: 3 months from the date of invoice on chairside pickups, explanation. (Of the housings coming out of the denture.) (And 60-day warranty on the nylon inserts, from being chewed up.) And no warranty on losing, the housing or nylon insert. And GSR Dental made the original appliance. There will be a travel cost to come to the dentist office, but not the work being done.


Warranty: 90 days from the date of invoice on Temporary Crowns, after that it's the cost of the temporary crown.


Warranty: 30 days from the date of invoice on Immediate Dentures. GSR Dental will impose a processing fee at a discounted rate, per arch and plus cost of teeth for the remake. 


Warranty: 30 days from the date of invoice on Immediate flippers, immediate acrylic partials, immediate flexible partials, immediate cast framework with acrylic, GSR Dental will impose a processing fee at a discounted rate, per arch and plus cost of teeth for the remake.


Warranty: 30 days from the date of invoice on Immediate 3D Printing. GSR Dental will impose a processing fee at a discounted rate, per arch and plus cost of teeth for the remake, or material used.


Warranty: 3 weeks from the date of the first invoice or original invoice on a particular case for Repairs. And GSR Dental did not make the original appliance. 


Warranty: 3 weeks from the date of invoice on Lab Relines, and chairside relines. And GSR Dental did not make the original appliance.


Warranty: 3 weeks from the date of invoice (GSR Dental did not make the original appliance,) on chairside pickups, explanation. (Of the housings coming out of the denture.) (And 3-week warranty on the nylon inserts, from being chewed up.) And no warranty on losing, the housing or nylon insert. 


There is No Warranty on temporary dentures or temporary immediate dentures, or temporary immediate cast chrome framework, temporary immediate 3D printing. To remake the temporary denture or temporary immediate dentures, or temporary immediate cast chrome framework, temporary immediate 3D printing it’s just the cost of the temporary.


No Warranty (against wear and tear, or discoloration.) 

And no warranty or refund if the appliance has been chewed or eaten by an animal or the appliance comes back to the lab and the breakage is catastrophic (in many pieces.) Please tell your patients or parents of patients to keep the appliance away from their pets. Pets love their owners' appliances.


Warranty: 90 days from the date of invoice on Permanent, Acrylic Flippers, Acrylic Partial's, And the breakage is not catastrophic and limited to 3 remakes. And GSR Dental made the original appliance. 


Warranty: 60 days from the date of invoice on Permanent, essix retainers, hard night guards, soft night guards, 3D printed night guards, 3D printed bleaching trays.


Warranty Terms – GSR Dental LLC

This warranty is exclusively for the benefit of the dentist and is not transferable to patients. The dentist agrees to cover all costs related to adjustments, repairs, and replacements, including cases where a dental office loses the product.

Except where prohibited by law, GSR Dental LLC is not liable for any loss or damages resulting from the use or non-use of a device. This includes, but is not limited to, direct, indirect, special, incidental, or consequential damages, regardless of the legal theory applied (warranty, contract, negligence, or strict liability). If such a disclaimer is not permitted by law, any implied warranty is limited to 90 days from the invoice or delivery date.

In the event of a dispute, and in the absence of an amicable resolution, both parties mutually agree to waive class actions in favor of mandatory individual arbitration. Arbitration will be conducted under the laws of the State of Texas.

GSR Dental LLC does not guarantee the performance of independent carriers.

Section 03

Interpretation and Definitions

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.


Definitions

For the purposes of these Terms and Conditions:


Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

Account means a unique account created for You to access our Service or parts of our Service.

Altered means, product has been adjusted to the point that the product can no longer be used, or it does not fit the original module or cast.

Business Entities refers to business companies and their affiliates. 

Country refers to: Texas, United States

Company or companies(referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to GSR Dental LLC, 405 Gray Wolf Trail, Hudson Oaks TX 76087. 

Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

Dentist, DDS, dds, or Dentist Office.

Device means any device that can access the Service such as a computer, a cell phone, or a digital tablet.

eSign refers to (digital signature and digital forms), and our eSign is certified HIPAA compliant and can help ensure you and your patient’s private and sensitive documentation are always within regulation. 

Feedback means feedback, innovations or suggestions sent by You regarding the attributes, performance or features of our Service.

Goods refer to the items offered for sale on the Service.

Inaccurate module for dentures and partial dentures: Any module that is above .12% expansion is inaccurate for dentures and partial dentures. (The sweet spot for processing acrylic appliances is .12% expansion stone.)

In-house Client Accounts: refers to GSR Dental working in side of a dentist office on a day to day basis or on a one day a week basis or bi-weekly. And we consider this private work.

Net means 25 days and 7 days

Orders mean a request by You to purchase Goods from Us.

Private Entities refers to single person or multiple persons.

Promotions refer to contests, sweepstakes or other promotions offered through the Service.

Prosthesis refers to, denture, dentures, RPD, Cast frameworks, all on 4, bars, partial dentures, Acrylic flipper, flex, c&b, 3D printing, ortho, etc.

PHI refers to,  Protected Health Information. 

Service refers to the Website's, Software and GSR Dental LLC.

Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service.

Third-party Social Media Service means any services or content (including data, information, products or services) provided by a third-party that may be displayed, included or made available by the Service.

TSBDE, Texas State Board of Dental Examiners, Dental Board Act.

Relationship between two different companies, refers to GSR Dental and dentist or dentist office and or any other company legally doing business. Whether or not our companies or any business entities, or private entities, are working together or not. Violating the relationship between two different companies is inexcusable. 

Warranty is not transferable meaning, cannot transfer from patient to another patient or from dentist office to another dentist office. 

Website refers to GSR Dental, accessible from http://www.gsrdental.com 

Laboratory Management Software Service Through GSR Dental LLC.

You or DDS, means the individual or business accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.


 Acknowledgment – GSR Dental LLC

These Terms and Conditions govern the use of GSR Dental LLC’s services and define the rights and obligations of all users. Access to and use of the service is conditioned on acceptance and compliance with these Terms.

By using GSR Dental LLC, you agree to be bound by these Terms. If you disagree, you may not access the service. You also confirm that you are over 18 years old, as the company does not permit users under 18.

Acceptance of our Privacy Policy is also required, as it outlines our policies on data collection, usage, and protection. Please review it carefully before using our service.

These Terms and Conditions are the controlling agreement.


 Order Placement & Information Policy – GSR Dental LLC

By placing an order through GSR Dental LLC, you warrant that you are legally capable of entering into binding contracts.

To complete your order, you must provide accurate and complete information, including:

  • Name
  • D.D.S. ID Number
  • Email & phone number
  • Credit card details (including expiration date)
  • Billing & shipping address
  • Signed Laboratory Prescription Form (by a Dentist)

You confirm that you have the legal right to use the payment method provided. By submitting payment details, you authorize GSR Dental LLC to share the necessary information with third-party payment processors to facilitate your order.


 Order Cancellation Policy – GSR Dental LLC

GSR Dental LLC reserves the right to refuse or cancel orders at any time due to:

  • Goods availability
  • Errors in descriptions or pricing
  • Errors in your order
  • Suspected fraud, unauthorized transactions, failure to supply a valid practice license, or violations of company terms

Cancellation & Returns   Goods may only be returned in accordance with our Returns Policy, which is part of these Terms and Conditions.

To qualify for a refund, items must be returned in their original condition, including all instructions, documents, and packaging. Damaged, altered, or excessively handled goods beyond opening the original packaging will not be refunded. Customers should take reasonable care of purchased goods while in their possession.


 Refund Policy – GSR Dental LLC

GSR Dental LLC will issue a reimbursement within 15 days from the date of delivery, provided that payment has already been received for the goods. Refunds will be processed using the same payment method as the original order, and no additional fees will be charged for the reimbursement.

To qualify for a refund, all original appliances must be returned. Once the refund process is initiated, the customer has 15 working days (Monday through Friday) to return the appliance. Failure to return the appliance within this timeframe will constitute acceptance of the appliance, and no refund will be issued.

GSR Dental LLC reserves the right to enforce these terms to ensure fairness and operational efficiency.


 Availability & Accuracy Disclaimer – GSR Dental LLC

GSR Dental LLC continuously updates its product offerings, but items may be mispriced, inaccurately described, or unavailable. Information—including pricing, images, specifications, and availability—may experience delays in updates.

We do not guarantee the accuracy or completeness of any details and reserve the right to modify or correct information, errors, or omissions at any time without prior notice.


 Price Policy – GSR Dental LLC

GSR Dental LLC reserves the right to adjust pricing at any time, including before or after order acceptance. Prices may be revised due to government action, changes in customs duties, or fluctuations in foreign exchange rates. If this occurs, customers have the right to cancel their order.

 Payment Policy – GSR Dental LLC

All payments must be made to GSR Dental LLC and are subject to a one-time charge. Accepted payment methods include:

  • Checks & cash
  • Debit & credit cards (Visa, MasterCard, Affinity Card, American Express)
  • Online payment methods (e.g., PayPal)

All payment cards are subject to validation and authorization by the card issuer. If authorization is not received, GSR Dental LLC is not responsible for any delays or non-delivery of your order.


 Nonpayment Policy – GSR Dental LLC

Nonpayment constitutes a material breach of these terms and conditions. Billing, invoices, and statements will primarily be conducted online via email and Laboratory Management Software.

For past due invoices:

  • If an invoice remains unpaid for more than 20 days beyond the Net 25 terms, the payment terms will automatically adjust to Net 15.
  • Once overdue invoices are fully resolved, terms will revert to Net 25.

After successfully completing three payments, the dentist office will be required to sign into Laboratory Management Software to facilitate easier access to GSR Dental LLC services.

Nonpayment or late payment causes undue harm to GSR Dental Lab and negatively impacts our ability to conduct business. As a result, at our sole discretion, injection materials may be substituted with trial pack materials due to nonpayment or late payment, with no change in pricing.

GSR Dental LLC reserves the right to enforce these policies to ensure the continuity of service and business operations. 


 Credit Card Transaction Fee Policy – GSR Dental LLC

A 3.0% transaction fee will be applied to past-due invoices to help cover credit card processing costs.

For customers with a history of consistently past-due payments, an automatic 3.0% credit card transaction fee will be applied to all invoices until accounts are brought current.

GSR Dental LLC reserves the right to enforce this policy to ensure financial sustainability and continued service.


 Collections Policy – GSR Dental LLC

GSR Dental LLC will make multiple attempts to collect outstanding debt through phone calls, emails, accounting software notifications, and physical mail. If the matter remains unresolved after these efforts, the account will be sent to collections.

Failure to respond to GSR Dental’s communications—including phone calls, emails, accounting software notices, and physical mail—does not exempt an account from payment obligations, even if the business relationship has ended.

Regardless of the outcome of the collections process, nonpayment causes undue harm to GSR Dental Lab and negatively impacts our ability to conduct business.

GSR Dental LLC reserves the right to enforce this policy to protect the integrity of our operations.


Chargeback Abuse, or Direct Deposit Chargeback Abuse: 

Every order we process for dental prosthesis has been requested by the client. As such, any chargeback is fraudulent and will be handled as such. Regardless of the decision rendered by the determining party (the direct depositing bank, the credit card issuing bank, the credit card processor, Visa, Mastercard etc.) your chargeback does not relinquish you of your unqualified responsibility to pay your bill that's owed to us. Regardless of the outcome of a chargeback for credit card or direct deposit, once filed, a chargeback causes undue harm to GSR Dental Lab and our ability to conduct business. If the client needs a refund, please read the refund policy. 


 Fuel Charge Policy – GSR Dental LLC

If a dental office requests a case pickup but refuses to sign a laboratory prescription form or asks the laboratory to proceed without a dentist’s signature, a $75.00 fuel charge will apply. This charge is applied at the laboratory’s discretion.


Promotions Policy – GSR Dental LLC

Promotions offered through GSR Dental LLC may be subject to separate rules that differ from these Terms. If you participate in a promotion, please review its specific terms alongside our Privacy Policy.

In cases where a promotion’s rules conflict with these Terms, the promotion’s rules will take precedence.


 Content Posting Policy – GSR Dental LLC

Users are responsible for ensuring that any content they post is legal, reliable, and appropriate. By posting content, users grant GSR Dental LLC a license to use, modify, display, and distribute it through the service while retaining ownership of their original content.

This license allows GSR Dental LLC to make content available to other users, subject to these terms. Users represent and warrant that:

  • They own the posted content or have the legal right to use it.
  • Their content does not violate the rights of others, including privacy, copyright, or contract rights.

GSR Dental LLC reserves the right to enforce compliance with these guidelines to ensure a professional and lawful service environment.


 Disclosure of Personal Data – GSR Dental LLC

  • Business Transactions: If GSR Dental LLC undergoes a merger, acquisition, or asset sale, your personal data may be transferred. Notice will be provided before it becomes subject to a different privacy policy.
  • Law Enforcement: Under certain circumstances, GSR Dental LLC may be required to disclose personal data to comply with legal obligations or respond to valid requests from public authorities (e.g., courts or government agencies).

 

 Legal Disclosure Policy – GSR Dental LLC

GSR Dental LLC may disclose personal data if necessary to:

  • Comply with legal obligations
  • Protect the company’s rights or property
  • Prevent or investigate potential misconduct
  • Ensure the safety of users or the public
  • Defend against legal liability

Such disclosures will be made in good faith to uphold legal and ethical responsibilities.


 Security of Personal Data – GSR Dental LLC

Protecting your personal data is a top priority for GSR Dental LLC. However, it is important to note that no method of transmission over the Internet or electronic storage is entirely secure. While we utilize commercially accepted security measures, including enterprise- and government-level security protections where applicable, we cannot guarantee absolute security.

To safeguard our assets and customer accounts, GSR Dental LLC does not disclose or discuss the specific inner workings of our security systems, including security software, accounting software, dental design software, computer backups, email services, or cloud storage solutions.

Additionally, GSR Dental LLC strictly adheres to HIPAA Security Guidelines to ensure compliance with industry standards for data protection.


 Content Posting Policy – GSR Dental LLC

Users are responsible for ensuring that any content they post is legal, reliable, and appropriate. By posting content, users grant GSR Dental LLC a license to use, modify, display, and distribute it through the service while retaining ownership of their original content.

This license allows GSR Dental LLC to make content available to other users, subject to these terms. Users represent and warrant that:

  • They own the posted content or have the legal right to use it.
  • Their content does not violate the rights of others, including privacy, copyright, or contract rights.

GSR Dental LLC reserves the right to enforce compliance with these guidelines to ensure a professional and lawful service environment.


 Content Restrictions – GSR Dental LLC

GSR Dental LLC is not responsible for user-generated content. Users are solely accountable for all activity under their account, whether conducted personally or by third parties.

Users may not transmit any content—whether online, via phone, text, or in person—that is unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable.

Examples of prohibited content include, but are not limited to:

  • Threats or incitement of harm
  • Libelous, slanderous, or defamatory statements
  • Hate speech, harassment, or vilification
  • Obscene or offensive material

GSR Dental LLC reserves the right to take appropriate action to uphold a safe and professional environment.


 Prohibited Activities Policy – GSR Dental LLC

GSR Dental LLC strictly prohibits any unlawful or harmful activities, including but not limited to:

  • Defamatory, discriminatory, or offensive content – Any material that targets or disparages individuals or groups based on religion, race, sexual orientation, gender, nationality, ethnicity, or other protected statuses.
  • Spam or unsolicited solicitations – Including unauthorized advertising, chain letters, lottery or gambling promotions, and machine-generated content.
  • Malicious software or hacking attempts – The use or distribution of viruses, worms, malware, trojans, or any content designed to disrupt, damage, or limit software, hardware, or telecommunications systems. Unauthorized access to company data, including patient health information (PHI), is strictly prohibited.
  • Infringement on proprietary rights – Including violations of patents, trademarks, copyrights, trade secrets, or other intellectual property protections.

The company will provide support and attempt to troubleshoot any known or discovered issues that may affect content backups. However, users acknowledge that GSR Dental LLC is not liable for the integrity of backed-up content or the failure to restore content to a usable state.
